Terms of Service

These Terms of Service (“Terms”) govern your access to and use of PropVista's websites, applications, APIs, and services (collectively, the “Services”), operated by UB Realty and its affiliated entities (“PropVista”, “we”, “us”, “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

PropVista is a multi-tenant software platform for licensed real-estate brokerages and their agents and clients. The Services include listing management, customer relationship management, marketing automation, jurisdiction-specific data feeds, white-label client portals, and related functionality. Specific features available to you depend on your subscription plan and the configuration set by your brokerage administrator.

2. Accounts

You must be at least 18 years old to use the Services. You agree to provide accurate registration information and to keep it current. You are responsible for all activity occurring under your account and for safeguarding your credentials. Notify us immediately at support@propvista.io of any unauthorised access.

If you use the Services on behalf of a brokerage, you represent that you are authorised to bind that brokerage to these Terms, and the brokerage is jointly and severally responsible for compliance with them.

3. Subscriptions and payment

Most features of the Services require a paid subscription billed monthly or annually in advance. Fees are non-refundable except where required by law. You authorise us to charge the payment method on file for all fees due. We may change pricing on 30 days' notice; continued use of the Services after a price change constitutes acceptance of the new pricing.

4. Acceptable use

You agree not to:

  • Use the Services in violation of applicable law, including real-estate licensing requirements, anti-money-laundering laws, consumer-protection laws, and the data licensing agreements imposed by regulators such as the Dubai Land Department and the Toronto Real Estate Board.
  • Misrepresent your identity, credentials, or affiliation with a brokerage.
  • Upload or transmit content that is fraudulent, defamatory, infringing, obscene, or that contains malicious code.
  • Attempt to gain unauthorised access to other tenants' data, our infrastructure, or any related systems.
  • Reverse-engineer, decompile, or extract source code from the Services except to the extent expressly permitted by law.
  • Use the Services to send unsolicited bulk communications, spam, or messaging that violates applicable anti-spam regulations including Canada's Anti-Spam Legislation (CASL) and equivalent UAE rules.
  • Resell, sublicense, or otherwise commercialise the Services without our written consent.

5. Your content and listing data

You retain ownership of the content you submit through the Services (“Your Content”). You grant PropVista a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, and process Your Content as necessary to provide the Services.

Where Your Content includes listing data sourced from a regulator (for example, IDX or VOW feeds from the Toronto Real Estate Board, or listings validated through Dubai Trakheesi), your use of that data is also subject to the terms imposed by the relevant regulator. You are responsible for ensuring your use of such data complies with the licences under which it was provided.

6. Regulator-imposed obligations

PropVista is bound by data licence agreements with the Dubai Land Department, the Toronto Real Estate Board, and other regulators. Where those agreements impose obligations on end users (for example, attribution requirements, delisting deadlines, watermarking, or data retention limits), you agree to comply with them. Failure to comply may result in suspension of the relevant feature or of your account.

7. Third-party services

The Services may include integrations with third-party platforms such as Google, Meta (Facebook, WhatsApp), Twilio, and others. Your use of those third-party services is governed by their own terms and privacy policies. We are not responsible for the practices of third parties.

8. Intellectual property

The Services, including all software, designs, trademarks, and content provided by PropVista, are owned by PropVista or its licensors and are protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Services for their intended purpose. All other rights are reserved.

9. Suspension and termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, presented a security or legal risk, or failed to pay fees when due. You may terminate your account at any time by notifying us in writing. Upon termination, you remain liable for any amounts owed and we will retain or delete your data as described in our Privacy Policy.

10. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. PropVista does not warrant that the Services will be uninterrupted, error-free, or secure.

PropVista is a software platform; it does not act as a real-estate brokerage and does not provide legal, tax, financial, or investment advice. Users of the Services remain solely responsible for their own brokerage activity and regulatory compliance.

11. Limitation of liability

To the maximum extent permitted by law, PropVista shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Services. Our aggregate liability arising out of or relating to these Terms is limited to the greater of (a) the fees you paid for the Services in the 12 months preceding the claim or (b) USD 100.

12. Indemnification

You agree to indemnify and hold PropVista and its affiliates harmless from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of (a) your use of the Services in violation of these Terms, (b) your violation of any third-party right, or (c) your violation of applicable law.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which the PropVista entity providing your Services is established, without regard to conflict-of-laws principles. Disputes will be resolved exclusively in the courts of that jurisdiction, except where mandatory consumer-protection law provides otherwise.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced through the Services or by email at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
